Effective Date: This Privacy Statement is effective as of February 15, 2012.

The privacy of your personal information is important to Amylin Pharmaceuticals, Inc. (“Amylin” “We” or “Our”). By accessing and using this site, you are consenting to Amylin’s processing of your personal information in accordance with this Privacy Statement. To better protect your privacy, we provide you with our Privacy Statement so that you will understand our commitment to you and to your privacy. At Amylin, we understand that health is a very personal, private subject, and we want you to feel as comfortable as possible visiting our various websites and using their respective services.

This Privacy Statement describes Amylin's current policies and practices with regard to information collected by Amylin through our websites. Amylin also collects information through offline resources and communications. This Privacy Statement does not apply to Amylin's offline personal information collection practices. The term "personal information" as used in this Privacy Statement refers to information that allows someone to directly identify or contact you, such as your name, e-mail address, and mailing address, as well as any other information that is linked to or combined with such information, including health information.

I. What Information We Collect and How We Use It

Amylin collects two kinds of information about visitors to our websites: 1) personal information that visitors volunteer by signing up to receive Amylin news and information, notifications, product and investor information, press releases, annual reports, and SEC filings, as well as by completing surveys and forms, and completing forms regarding potential employment opportunities with Amylin; and 2) technical and web browsing data we automatically collect when visitors access our websites, such as your Internet Protocol (IP) address, your browser type and language, your operating system, the URLs of sites you visited before and after visiting the Amylin website, and web pages and advertisements you view and links you click on within the Amylin website.

A. Personal Information That You Voluntarily Provide

As indicated, Amylin collects personal information through our websites when users voluntarily provide such information. Amylin may use the personal information you provide to answer your questions or resolve your issues. Amylin also uses this personal information to help us improve the content and functionality of our websites, to better understand our customers and markets, for marketing purposes, and to improve our products and services.

If you are a healthcare professional or an institutional healthcare provider, it is your responsibility to obtain your patient's authorization to provide his or her health-related personal information to Amylin through our websites. By submitting any such information, you represent and warrant that you have obtained your patient's authorization to do so.

If you represent an organization and provide personal information about members of your organization (including employees and contractors), you are responsible for ensuring that each such member has given his or her consent to Amylin’s processing of personal information about them.

B. Technical and Web Browsing Data That Is Automatically Collected

As indicated, Amylin automatically collects technical and web browsing data when visitors access our websites. This information helps us evaluate and improve our websites and is sometimes useful for business, marketing, and investment analysis. For example, we may use IP addresses to track visitor movements on our sites so that we can analyze trends and design our sites to better suit users’ needs. We may share this data with third parties, but only in a form that includes no personal information.

Examples of technologies that are used on our site to collect technical and web browsing data include:

i. Cookies

A “cookie” is a small file that is sent to your computer when you visit a website. When you visit the website again, the cookie allows that site to recognize your browser. Cookies may also store user preferences and other information. All major browsers allow you to block or delete cookies from your system. To learn more about your ability to manage cookies, please consult the privacy features in your browser.

Our websites use web analytic services such as Google Analytics, a web analytics service provided by Google, Inc. ("Google"). These web analytic services may place their own cookies on your computer to help us analyze how users use our site. Additionally, these services may collect the IP address of visitors to our website in order to provide us with a sense of where our website visitors are coming from.

ii. Web Beacons

A web beacon (also known as internet tags, single-pixel GIFs, clear GIFs, and invisible GIFs) is a tiny graphic on a web page or in an e-mail message that is used to track pages viewed or messages opened. Web beacons tell the web site server information such as the IP address and browser type related to the visitor's computer. Web beacons may be placed on online advertisements that bring people to our site and on different pages of our site.

II. How We Use and To Whom We May Disclose the Information

Amylin, our affiliates, and our corporate partners may share personal information collected through our websites with third-party vendors who act for or on behalf of Amylin or our affiliates and corporate partners (for example, companies that provide support services to us, including data processing services, or that help us market our products and services). These companies may need personal information about you in order to perform their functions. These companies are not authorized to use the personal information we share with them for any other purpose.

We may also disclose your personal information in connection with an assignment, sale, joint venture or other transfer or disposition of some or all of the assets of Amylin Pharmaceuticals, Inc., or its affiliated entities. In the event of such a sale, joint venture, or other transfer or disposition of assets, you agree that we can accordingly assign, sell, license, or transfer any related information, including personal information, that you have provided to us to those third parties directly involved in the transfer or disposition of such assets.

Finally, although your privacy is very important to us, due to the existing legal, regulatory, technical, and security environment, we cannot fully ensure, nor do we represent or warrant, that your private communications and other personal information will not be disclosed to third parties. For example, we may be required to disclose your personal information to the government or other third parties under certain circumstances, or third parties may unlawfully intercept or access transmissions or private communications. Additionally, in the unlikely event we need to investigate or resolve possible problems or inquiries, we can (and you authorize us to) disclose any information about you (including personal information) to private entities, law enforcement or other government officials as we, in our sole discretion, believe necessary or appropriate. In all instances, we will cooperate fully when required by law to provide information regarding visitors.

III. Your Privacy Choices

When you access an interactive tool or service on one of our websites, you may be asked to provide personal information. It is your choice as to whether or not to provide such personal information. If you do choose to provide personal information to us, we may use it to contact you in the future to tell you about products or services we believe will be of interest to you. Each communication we send to you will contain instructions permitting you to "opt-out" of receiving future communications.

Similarly, we may provide "subscription" e-mail and mail services, either directly or through affiliates or corporate partners, which enable you to receive current news about Amylin, our products and services, or related medical conditions and procedures. For all such services, we will provide an opportunity to "opt-out" of, or cancel, the subscription.

If you do not wish to receive further information from us, you may also contact us at the email addresses listed below and request to be removed from the appropriate contact list. Once we receive your request, please allow two weeks for us to remove your name from the contact list. If you wish to update any of your personal information, please contact us at this same email address, and we will use commercially reasonable efforts to update your contact information accordingly. Please be aware, however, that even if we update your personal information in our contact list, or we remove such information, it may still be stored in other databases (including those kept for archival purposes) and may still be used to compile aggregated or demographic information for disclosure to third parties in accordance with this Privacy Statement.

When you register with our site, you will be given the option of requesting to receive communications with information we think you might find useful, including promotions, announcements of new services and products, and newsletters on particular health topics. IV. Our Security Measures to Protect Information

To help protect the privacy of information you transmit through use of our websites, we maintain physical, technical and administrative safeguards. We update and test our security technology on an ongoing basis. We restrict access to your personal information to those employees who need to know that information to provide benefits or services to you. In addition, we train our employees about the importance of confidentiality and maintaining the privacy and security of your information. We commit to taking appropriate disciplinary measures to enforce our employees' privacy responsibilities.

V. Our Policy Towards Children

Our websites are not directed at or intended for minors. Therefore, we do not wish to receive, nor do we knowingly collect personal information from minors via our websites.

VI. How This Privacy Statement Applies to Users Outside of the United States

Your personal information may be processed by Amylin in the country where it was collected and it may be transferred to the United States. The level of legal protection for personal information is not the same in all countries; however, we will take the security measures described in this Privacy Statement in an effort to keep your information secure.

VII. The Effect of Changes to this Privacy Statement

We reserve the right, in our sole discretion, to change, modify, update, add to or remove any portion of this Privacy Statement, in whole or in part, at any time. If this Privacy Statement is changed by us, we will notify you by posting the date of the change in the current privacy statement on our websites. Any changes to this Privacy Statement will be effective when such changes are posted to our websites. Your continued use of our websites after any changes to this Privacy Statement are posted will be considered acceptance of those changes.
